Welcome to MOD BIKES! These Terms of Service ("Terms") govern your use of our website located at https://www.mod-bikes.com (the "Site") and any purchases or interactions with our products and services.

2. Acceptance of Terms

1. By accessing the Site or placing an order, you agree to be bound by these Terms, our Privacy Policy, and our Return & Refund Policy. The Return & Refund Policy is incorporated into these Terms by reference. Any promotion terms that are stated on the applicable promotion page or presented at checkout are also incorporated into these Terms for orders that qualify for that promotion.
2. If you do not agree, please do not use our Site.
3. Section 12 contains a binding individual arbitration agreement and a class-action waiver. You may opt out as described in Section 12.6.
4. You must be at least 18 years old, or the age of majority where you live, to place an order. If you are younger, a parent or legal guardian must place the order or agree to these Terms on your behalf and accepts responsibility for your use of our products.

3. Product Information & Changes

1. MOD BIKES reserves the right to redesign, alter, or discontinue any product without notice.
2. From time to time, based on product availability, MOD BIKES may replace specific products or components with better or equivalent replacements without notice.
3. Product specifications, pricing, promotions, and availability are subject to change at our discretion. Price changes do not affect orders already placed, except as provided in Sections 4 and 5.
4. Range, top speed, and other performance figures we publish are estimates, not guarantees. Actual performance varies with rider and cargo weight, terrain, tire pressure, level of assist, battery age and charge level, temperature, and wind.
5. You are responsible for knowing and following the laws and rules that apply where you ride, including e-bike class, age, helmet, and registration requirements. We recommend wearing a helmet and inspecting your bike before every ride.

4. Orders, Pricing & Errors

1. All orders are subject to acceptance and product availability. An order confirmation email confirms that we received your order. It does not confirm that we accepted it.
2. We reserve the right to cancel any order placed at a price, discount, or product description that is clearly erroneous, including errors caused by typographical, technical, or third-party issues. If we cancel an order, we will refund any amount paid in full.
3. We may limit or cancel quantities purchased per person, household, or order, including orders that appear to be placed for resale. If we cancel an order under this section, we will refund any amount paid in full.
4. Discounts, coupons, and promotions cannot be combined unless explicitly stated.
5. We may cancel or refuse any order at our discretion, including orders we believe may be fraudulent, unauthorized, or in violation of these Terms. If we cancel an order, we will refund any amount paid in full.
6. If we have concerns about fraud or the security of an order, we may contact you to request information to verify your identity or your authorization to use the payment method, and we may delay processing or shipping the order until verification is complete. If we cannot verify the order within a reasonable time, we may cancel it and refund any amount paid.
7. You confirm that the payment information you provide is accurate and that you are authorized to use it. Before disputing a charge with your card issuer, please contact us at support@mod-bikes.com so we can resolve the issue. If a charge is disputed because of an alleged product defect, any refund will follow our Return & Refund Policy and any written product warranty, and the time limits in those documents continue to run.

5. Price Adjustments & Best Price Guarantee

1. Retrospective Price Adjustment. If you purchase a product at full price and MOD BIKES offers the same product at a lower price on mod-bikes.com within 14 days of delivery or pickup, you may request a price adjustment, issued as a MOD BIKES gift card (or to your original payment method for HSA/FSA orders). To request one, fill out the Price Adjustment Request Form within 14 days of delivery or pickup.
2. Holiday 2026 Best Price Guarantee. This guarantee applies to orders placed between October 15, 2026 and December 31, 2026 ("Eligible Holiday Orders"):
   1. If, between your order date and December 31, 2026, MOD BIKES lowers the publicly advertised price of the same model and configuration on mod-bikes.com, you may request a price adjustment as described in item d below. If your request is approved, we will refund the difference to your original payment method. The difference is calculated between the price you paid and the lowest publicly advertised price during that period. Coupon codes, email-signup or loyalty discounts, bundles, and offers limited to specific customers are not counted as price reductions. We do not automatically issue adjustments, and we are not required to notify you of price changes.
   2. The guarantee applies only to MOD BIKES' own prices on mod-bikes.com. It does not apply to prices from competitors or third-party retailers.
   3. The guarantee excludes clearance, open-box, refurbished, and certified used items; pricing errors under Section 4.2; and the value of free gifts, bundled accessories, or gift-with-purchase offers.
   4. To claim, submit the Price Adjustment Request Form with your order number and the date you saw the lower price. Claims must be submitted within 14 days of the lower price appearing, and no later than January 14, 2027.
   5. If you return an item, any price adjustment already paid on it will be deducted from your refund.
   6. For Eligible Holiday Orders, this guarantee replaces Section 5.1.

6. HSA/FSA Purchases

1. HSA/FSA purchases are processed through Truemed, an independent third-party partner. Eligibility is determined through Truemed's qualification process, which may include a Letter of Medical Necessity from an independent licensed provider.
2. MOD BIKES does not guarantee that any purchase will be approved by Truemed or accepted by your HSA/FSA plan administrator. MOD BIKES does not provide medical, tax, or legal advice, and is not responsible for how your plan administrator treats a purchase or refund, including a refund issued after your plan year ends. Please confirm eligibility with your plan administrator.
3. Your use of Truemed's services is subject to Truemed's own terms and privacy policy.

7. Intellectual Property

1. All content, trademarks, and media on our Site are the property of MOD BIKES or its licensors.
2. You may not reproduce, distribute, or use any content without written permission.
3. We grant you a limited, non-exclusive, revocable license to access and use the Site for your personal, non-commercial use. You may not copy, scrape, or use automated tools to collect content from the Site, or use the MOD BIKES name, logo, or other trademarks without our written permission.

8. User Comments & Submissions

1. Users may post comments, reviews, and photos on the Site, provided the content is lawful, respectful, and does not infringe anyone's rights. By posting, you confirm that you own the content or have the right to post it, and that anyone identifiable in a photo or video has agreed to its use.
2. You keep ownership of what you post. By posting, you grant MOD BIKES a non-exclusive, royalty-free, worldwide, sublicensable license to use, reproduce, edit, display, and distribute the content, together with the name or username you post it under, on our Site, in our marketing, and on our social media and advertising channels.
3. We may remove content that is unlawful, infringing, harassing, spam, or contains personal information, or that otherwise violates these Terms.
4. To report content that infringes your copyright, email support@mod-bikes.com with "Copyright" in the subject line. Include your contact information, a description of the work, where the material appears on the Site, and a statement under penalty of perjury that you own the copyright or are authorized to act for the owner. Notices should meet the requirements of 17 U.S.C. § 512(c)(3). We may remove the material and may end the accounts of repeat infringers.

9. Use of Cookies

1. We use cookies and similar technologies as described in our Privacy Policy.
2. Where required by applicable law, we obtain consent before using non-essential cookies. You can manage your preferences through our cookie banner. Residents of certain U.S. states can opt out of the sale or sharing of personal information via our Your Privacy Choices page.

10. Limitation of Liability

1. We do not guarantee the accuracy or availability of Site content.
2. To the maximum extent permitted by law, MOD BIKES shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Site or our products. Except as provided in Section 10.3, our total liability for any claim relating to a product shall not exceed the amount you paid for that product.
3. Nothing in these Terms limits or excludes liability for personal injury, liability under any written product warranty, or any liability that cannot be excluded under applicable law, including your statutory rights as a consumer.
4. To the extent the law allows, any implied warranties on our products last only as long as the written warranty that comes with the product.

11. Refusal of Service

1. MOD BIKES reserves the right to refuse service under circumstances including, but not limited to:
   1. violation of our terms or policies
   2. abusive, threatening, or disruptive behavior
   3. requests involving illegal or unethical services
   4. suspected fraud or unauthorized use of a payment method
2. Refusal of service decisions are made without discrimination based on protected statuses.

12. Governing Law, Arbitration & Class-Action Waiver

1. Governing law. These Terms are governed by the laws of the State of Texas, United States.
2. Informal resolution. Before starting arbitration, you agree to email support@mod-bikes.com with your name, order number, a description of your claim, and the relief you are seeking. We will try to resolve your claim within 30 days. You may not begin arbitration until 30 days after we receive your notice.
3. Binding arbitration. Any dispute that is not resolved informally and that arises from these Terms, the Site, or your purchases will be resolved by binding individual arbitration. The arbitration will be administered by the American Arbitration Association under its Consumer Arbitration Rules. Hearings may be held by video conference or in the county where you live. Fees are allocated as provided in those rules. You and MOD BIKES waive any right to a jury trial.
4. Exceptions. Either party may bring an individual claim in small claims court, or seek injunctive relief in court for infringement of intellectual property rights.
5. Class-action waiver. Claims may be brought only on an individual basis, not as a plaintiff or class member in any class, consolidated, or representative action. The arbitrator may not consolidate more than one person's claims for decision or preside over any form of class or representative proceeding. If this waiver is found unenforceable for a particular claim, that claim will proceed in court, not in arbitration.
6. Opt-out. You may opt out of the arbitration agreement in Sections 12.2 and 12.3 within 30 days after you first place an order under these Terms, by emailing support@mod-bikes.com with your name and order number. If you opt out, the rest of these Terms, including the class-action waiver in Section 12.5, still apply to you.
7. Venue. Except for small claims actions permitted under Section 12.4, any claim not subject to arbitration will be brought exclusively in the state or federal courts located in Travis County, Texas, unless applicable law requires otherwise.
8. Local law. If you are a consumer in the EU/EEA or Canada, or anywhere else where applicable law prohibits pre-dispute arbitration, class-action waivers, exclusive venue clauses, or a choice of governing law, then Sections 12.3 through 12.7 do not apply to you, and Section 12.1 applies only to the extent permitted by your local law. You keep any mandatory consumer protections of your local law.

13. Severability & Entire Agreement

1. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
2. These Terms, together with the policies incorporated by reference and any written product warranty, are the entire agreement between you and MOD BIKES regarding your use of the Site and your purchases.
3. If these Terms conflict with the Return & Refund Policy, a written product warranty, or promotion terms, the more specific document controls for the subject it covers, except that Section 12 always controls.
4. Our failure to enforce any provision of these Terms is not a waiver of it.
5. We are not responsible for delays or failures caused by events beyond our reasonable control, including natural disasters, fires, strikes, carrier or supplier delays, customs or import restrictions, government actions, and utility or internet outages. This does not excuse our obligation to refund amounts paid for orders we cannot fulfill.
6. We may assign these Terms in connection with a merger, sale of assets, or sale of our business. You may not assign these Terms without our written consent.

14. Changes to These Terms

1. We may update these Terms from time to time. The version in effect on the date of your order governs that order.
2. Continued use of the Site after changes are posted indicates acceptance of the revised Terms for future use.
